THE CONSTITUTION OF GREAT NDI-EGO WORLD WIDE SOCIAL CLUB
PREAMBLE:
We the members of GREAT NDI-EGO WORLD WIDE SOCIAL CLUB, a non-political organisation do firmly and solemnly resolve to provide for ourselves a constitution and to be governed by the provision therein contained.
SECTION 1:
1. GENERAL PROVISION:
This CONSTITUTION is supreme and its provisions shall be binding on all Members of GREAT NDI-EGO WORLD WIDE SOCIAL CLUB.
2. NAME:
The CLUB shall be known and called GREAT NDI-EGO WORLD WIDE SOCIAL CLUB.
3. MOTTO:
The motto of the Club shall be progress through unity, Peace and love.
4. AIMS AND OBJECTIVES:
The aims and objectives of the Club are:
a. To unit all members all over the world.
b. To create, nurture and promote the spirit of brotherliness and friendship through social and business interaction amongst members
c. To foster the spirit of love, unity, peace, progress and closer relationship amongst its registered members.
d. To engage and share Business ideas.
e. To see to the improvement and welfare of Members.
f. To foster social – Economic developments and protect the interest of its registered members globally.
g. To build a good relationship between non- Members, organizations and various arms of Government.
h. To attend functions organised by members whenever and wherever.
i. To raise funds from Members, persons and organization for the realization of the above – Mentioned objective.
SECTION 2:
GOVERNING BODY:
The Governing Body of the Club shall be the Elected EXECUTIVES, BOARD OF TRUSTEES AND APPOINTED COMMITTES Only:
SECTION 3:
MEMBERSHIP:
(a) Membership of the Club shall be open to all Igbo tribe irrespective of sex, religion and political affiliation, provided that he or she is of high moral standard and believes in the aims and objectives of the club resident in Nigeria or Abroad.
(b) A member shall be an adult of 18 years and above.
(c) A member shall be a financial contributor.
(d) A member shall have the identification card of the club and shall fill and submit his or her membership Bio-data Form to the Club through the Secretary.
SECTION 4:
MODE OF ADMISION.
a. A person who intend to join the Club shall be recommend or introduce to the screening committee by a member of the club.
b. The screening committee shall screen the intending member and if satisfied that he / she is qualify to join the Club, the screening committee shall forward the account Number of the Club to intending member who shall pay a non- refundable fee of N100,000 (One Hundred Thousand Naira) only (Registration fee)
c. Upon payment of the said sum of N100, 000.00 the screening committee shall immediately forward his/her details to the Board of Trustees and the executives Platform who shall immediately add him/her to the club main what sap group platform.
d. The new member shall officially introduce him/herself to the General house.
e. The new Member shall lunch the constitution of the club with a minimum sum of N2, 000.00 (Two Thousand Naira) only and will be given one copy of the constitution booklet.
f. The new Member of the Club shall clean seat for the club with a minimum sum of N20,000.00 and other members of the club are encourage to support him or her.
g. He or she shall pay her annual due of N50, 000.00 (Fifty Thousand Naira) Only.
h. The secretary of the club shall send Membership Bio-data form to the new Member who shall fill and submit it immediately to the secretary of the club for proper record and documentation.
i. A member of the club who introduce or recommend a person to the club shall stand as his or her guarantor and shall be liable to indemnify the club for any debt he or she owed the club or any financial damage he caused to the club.
SECTION 5:
1. TERMINATION OF MEMBERSHIP:
A person ceases to be a Member of the Club if;
a. He/she dies.
b. He/she fails to pay his or her Annual due after Six Months in a year without any cogent reason.
c. He or she is expelled from the Club.
SECTION 6:
BOARD OF TRUSTEES (B.O.T)
There shall be for the club Board of Trustees empowered by the articles of Association in collaboration with corporate affairs Commission (C.A.C) to oversee the whole affairs of the club.
(a) The Trustees of GREAT NDI-EGO WORLD WIDE SOCIAL CLUB pursuant to the companies and Allied Matters Act CAP C20 LFN 2004 shall be appointed at the general meeting with Two-Third of Members present as a quorum.
(b) Such Trustees hereinafter referred to as the Trustees shall be Seven (7) in number and shall be called the Registered Trustees of GREAT NDI-EGO WORLD WIDE SOCIAL CLUB
(c) A Trustee may hold office for Ten years but shall cease to hold office if he:
1. Resign his office,
2. Cease to be a member of the Club,
3. Becomes insane,
4. Is officially declared bankrupt,
5. Is convicted of a criminal offence involving dishonesty by a court of competent jurisdiction.
6. Is recommended for removal from office by a two-third majority vote of members present at the General meeting of the club.
(d) Upon a vacancy occurring in the number of Trustees a General meeting will be held to appoint another eligible member of the club as a Trustee.
(e) Upon the appointment the club shall apply to C.A.C for change of trustee.
SECTION 7:
FUNCTIONS OF BOARD OF TRUSTEES (B.O.T)
(a) Board of Trustees shall act as advisory body and gives moral guidance to the club.
(b) Board of Trustees shall have power to accept and hold in trust all properties belonging to the club and acquire land and other properties on behalf of the club subject to such condition as may be imposed.
(c) Board of Trustees shall work with Executives to ensure smooth running of the club.
(d) As inscribed in the memorandum of association at the corporate affairs commission (C.A.C) the board of trustees is the custodian of the club assets when the club is winding up.
(e) The chairman of the Board of Trustee shall be signatory to the club account.
(f) The chairman of the Board of Trustee shall be a member of the club what sap group admin.
SECTION 8:
QUALIFICATION TO BE ENTITLE TO ANY BENEFIT OR RIGHT AS A MEMBER OF THE CLUB.
1. A person shall be qualify to receive benefit or right as a Member of the Club if:
a. He is a registered Member and Financial up to date Member ( he is not owing the club a kobo)
b. He has been a Member of the club for a Minimum period of Three Years.
c. A member who is on suspension or has a pending case with the club shall not be entitle to receive any right or benefit until he/she clears or settle with the club.
d. If a member desire to leave the club he/she shall clear all his/ her debt with the club , where such person has received any right or benefit he shall return to the club all the money given to him or her by the club
2. If a Member of the Club who has not stay up to Three years as a member died, loss his parents or invite the Club for a wedding or any other occasion, Members of the club who wish to attend are encourage to attend with anything they can afford.
3. Where such a member in sub section (2) has stayed up to two years and six months the club may call for a free will donation to support him/her provided that he/she is not indebted to the club.
SECTION 9:
EXECUTIVE OFFICERS:
The Club shall be govern by an honourable body known as the Executive Officers which shall comprise the following Officers:
1. The President
2. The vice President
3. The secretary
4. The Assistant secretary
5. The financial secretary
6. The Treasurer
7. The public Relation Officer
8. The welfare officer
9. The provost
Functions of the President:
a. The President shall preside over all meetings of the Club, namely, Monthly, Executive, Emergency and the annual general meetings.
b. He shall sign all Minutes of the previous Meetings on adoption
c. He shall maintain discipline and order during Meeting and any other gathering.
d. He shall ensure that all parties have fair hearing and shall close any debate when no useful contribution is forthcoming.
e. He shall sign and approve expenditures subject to the approval of the general meeting.
f. He shall convene Meetings in consultation with the Secretary in cases of Executive and Emergency Meetings.
g. He shall appoint AD Hoc Committee whenever necessary for a specified purpose.
h. He shall be signatory to documents when needs arises.
i. In any case of a tie he shall cast a deciding vote.
j. He shall execute such other duties that are incidental to his office and present such case to the General Meeting for rectification.
k. He shall be a signatory to the account of the Club.
l. Shall work with Taskforce Committee to oversee the management of the Club Group what sap platform.
Functions of the Vice President
a. He shall assist the President.
b. He shall carry on the duties of the President when the President is not present in a meeting.
c. In the case of death or incapacitation of the President, the Vice President shall assume the office of the President and the Club shall elect someone within 3 Month as Vice president to complete the Tenure.
d. The Vice president shall execute any other duties assigned to him by the president by virtue of his Office.
Functions of the Secretary:
The Secretary shall;
a. Be responsible for taking of the minutes of Monthly Meeting, Emergency and annual general meeting.
b. Summon Meetings in consultation with the President and make all plans towards the success of the Meetings which include preparation of Agenda
c. Keep in proper order Membership Register, Bio data form, other records and documents of the Club.
d. Properly preserve all documents of the Club by maintaining a good filling system.
e. Receive, reply and sign all correspondences concerning the Club and sign the minutes of the previous Meetings with the President or his vice.
f. Prepare Annual Report of the Club activities as may be directed by the club.
g. Carry out such other duties as maybe incidental to his duties.
h. Be a Signatory to the Club Accounts.
Functions of the Assistant Secretary;
a) Shall assist the Secretary for proper Execution of his duties.
b) Shall act for the Secretary in his absence.
c) Shall perform any other duties assigned to him by virtue of his office.
Functions of the Financial Secretary
a) Shall receive all dues, levies and other monies of the club and issue receipts to them and maintain proper entry into the account of the Club. The account books shall show income and Expenditures entries of the Club Financial Transaction and the cash book to be balance at all times.
b) Shall hand over to the treasurer all monies of the club that comes into his hands immediately and obtain receipts for same within 3days.
c) Shall sign payment vouchers along with the president before any payment is made by the Treasurer.
d) Shall prepare financial Annual report which must be presented to the Club at the annual general meeting.
e) Shall keep a comprehensive list of registered members in order to detect debtors.
f) Shall have the duty to communicate to Members via letter, phone or what sap calls of their outstanding debt for redemption of the debt from time to time.
g) Shall make available all Financial Records of the Club to the Auditors when needed.
Functions of the Treasurer:
a. Shall gather all Monies realized by the Club and bank same in the Club Account within 48hours.
b. Shall sign all prepared payment and receipt vouchers of the club.
c. Shall make available the club documents in his possession to the Auditor or any other persons as may be directed by the club.
d. Shall execute all other duties arising by virtue of his office.
e. Shall keep the cash book, cheque book or teller relating to the club Account.
f. Shall be a signatory to the club Accounts.
7. Function of the Public Relation officer:
a) Shall be responsible for all publications as may be approved by the Club.
b) Shall distribute and disseminate information/ circulars for Meetings, Executive and Emergency as well as sudden change of meeting or venue.
c) Shall not publicize any matter, articles, etc that may ridicule or embarrass the club.
8. Functions of the Welfare Officer;
a) The Club shall have two welfare officers (welfare officer 1 &2)
b) They shall be responsible for the orderly organisation of all approved Social activities or functions.
c) Shall give accurate report of such gathering to the Club.
d) Shall be responsible for the dispensation of approved welfare packages and reports to the club.
9. Functions of Provost;
a. There shall be two provost for the Club (provost 1&2)
b. They shall be responsible for the orderliness of the Club Meetings.
c. Shall check lateness, noise making and unauthorised movements during the meeting.
d. Shall collect appropriate fines from defaulters and pay same to the financial Secretariat at the end of the Meeting.
e. Shall assist the welfare officer during social gathering and perform other duties that may be assigned to him from time to time.
SECTION 10:
ELIGIBILITY FOR HOLDING OFFICE:
1. No person shall qualify for election to office of the Club if;
a. He /she has been elected to such office at any two previous elections.
b. He/ she has not spent at least Three (3) years as a Member of the club.
c. He has criminal record or sentence of imprisonment or fine for any offence involving dishonesty, fraud or any other offence imposed on him by any competent authority or court.
d. He has a pending case with the club.
e. He is not a financial up-to-date member.
f. A person may be nominated and voted in absence but such a person shall be called on phone to confirm his appointment and where he did not response or fail to confirm his acceptance of the post, his nomination shall be cancelled.
g. Any member who is indebted to the Club shall not qualify to cast a vote or be voted for.
SECTION 11:
OATH OF OFFICE
The elected officers of the club shall not begin to perform the functions of their office unless he/she has taken or subscribed to oath of allegiance and oath of office
SECTION 12:
GREATION OF CLUB WHATSAP PLATFORM:
The club shall have and maintain only two whatsap platform, namely:
Great Ndi-Ego worldwide social club Main whatsap platform
AND
Great Ndi-Ego worldwide social club Entertainment whatsap platform.
1. The Main whatsap platform shall be strictly for the club what sap meetings (monthly meetings. Emergency Meetings, lectures, disseminating of information concerning the club or its members.
2. The Entertainment what sap platform shall be strictly for entertainment, jokes, genuine business discussion or sharing of business ideas or any other information or articles that will be beneficial to members of the Club.
a. No member of the club shall post videos or any articles that are not related to the aims and objective of the club without the permission or approval of the chairman or Task force to the what sap platform.
b. No member of the Club shall use hate speech, abusive or insulting words on another on the group what sap platform.
SECTION 13:
MANAGEMENT OF THE CLUB WHATSAP PLATFORM:
1. The chairman of the club, secretary, Board of Trustee chairman, Taskforce chairman and any other approved Members of the club shall manage Club what sap Platform and shall be the group admins of the Club what sap Platform.
2. The admins shall not accept or add any person or member into the Club what sap platform without the consent and approval of the general house.
3. The admins shall have power to remove any member of the Club who offend or breach any of the section of this constitution that requires such member to be removed from what sap group platform.
4. Any admin who add any body into the club what sap platform without the consent and approval of the general house shall be remove immediately as a group admin and he or she shall pay a fine N5000.00 to the Club within Five days.
5. Where he/she failed or refused to pay the fine after five days, the club shall suspend him until he/she paid the money.
6. Where the defaulter is an elected officer a vote of no confidence shall be pass on him and he shall stand removed from the office before the suspension.
SECTION 14:
SECTION 14:
PUNISHMENT FOR USING ABUSIVE WORDS, INSULT, MAKING HATE SPEECH TO ANOTHER OR POSTING UNAUTHORISED VIDEO OR ARTICLES IN THE CLUB MAIN WHATSAP PLATFORM.
1. If a member of the club verbally abuse, insult, cajole or use unauthorised words on another member in the what sap Platform whether in the main what sap or entertainment what sap platform, he shall be compelled by the president or Taskforce chairman to retract his statement and tendered unreserved apology to the person and the club.
a. If he or she failed or refused to retract his statement and tender apology to the person and the club after 48 hours, a fine of N5000 shall be imposed on the person which shall be paid within 78 hours.
b. Where he/she failed or refused to pay the fine after 78 hours, he shall be remove from the what sap platform and suspend from the club until he pay the fine.
4. If a member of the club post unauthorised video or articles without the consent or approval of the chairman of the club on the club Main what sap platform, he/ he shall pay a fine of N5, 000 to the club within 78hours.
a. Where he failed or refused to pay the fine, he shall be remove from the what sap platform and suspend from the suspend until he pay the fine.
b. Where a member willingly exit the group whatsap platform because of altercation or misunderstanding he/she had with a fellow member such a Member shall not be added back to the club whatsap Platform until he pay a fine of N50,000 and tender written an apology to the club.
c. Where a member failed or refused to communicate or contribute to any issue raised on the group whatsap platform or failed to attend whatsap group meeting for four consecutive months without any cogent reason such a person shall be declared in active Member.
d. Where a member is suspend from the club for breach of any of the provision of this constitution or refusal to pay a fine imposed on him or her, if such a member wish to come back, he or she shall pay the fine imposed on him and also pay a penalty fee of N10, 000, he will also pay and clear all Monthly/Annual dues and all other monies and levis the club agreed to pay or paid during the period of his suspension.
e. If the offender in (d) is an elected officer he or shall also pay a fine of N50, 000.00 and shall loss his post.
SECTION 15:
TENURE OF OFFICE
1. An elected officer shall cease to hold the office.
a. When his successor to the office takes the oath of that office;
b. if he dies while holding the office; or
c. if he resign from the post, suspend or ceases to be a member of the club.
d. if he otherwise ceases to hold office in accordance with the provisions of this constitution.
e. The tenure of all the elected Executive Officers shall terminate at the end of Four (4) years.
f. An Officer may be elected into one position for a maximum of two terms.
2. Subject to the provisions of sub-section (1) of this section, the Officers shall vacate their offices at the expiration of a period of Four years commencing from the day they took the Oath of Allegiance or Oath of Office.
SECTION 16:
ELECTION PROCEDURES:
At the expiration of the tenure of the officers, the office shall be dissolved by a motion moved and seconded by a Member of the club.
a) The General Meeting shall appoint three men Electoral Committee to oversee the conduct of the election and to declare a winner of the election after the vote count.
b) Election into the office shall be by nomination and secret balloting.
c) The nomination shall not be restricted to a particular number of Members.
d) There shall be Election for each post and the highest scorer in each Post shall be declared winner of the election.
e) In case of a tie in any office, a run –off Election shall be held for those concerned.
SECTION 17:
HANDING OVER PROCEDURE:
a) After the Election and declaration of the winners, all the outgoing Officers shall handover to his successor all the club documents in his or her possession within a period of three weeks commencing from the date the new officers take Oath of office.
b) Each of the outgoing officers shall prepare a handover note which must contain his achievement and all the outstanding issues in respect of his office and must be sign by both parties.
c) The outgoing Signatories to the club BANK ACCOUNT shall introduce the New SIGNATORIES and their SIGNATURES for their replacement to the club BANK (s) WITHIN 3 WEEKS.
d) The outgoing president shall present a comprehensive handover Report to the club.
SECTION 18:
MEETING
There shall be for the club the following Meetings:
1. Monthly meeting.
2. Emergency meeting.
3. Executive meetings and
4. Annual General Meetings
MONTHLY GENERAL MEETING:
a. Shall be open to all Members of the club.
b. The Monthly Meeting shall hold every (2nd) second Sunday of the month by 3.00pm Nigeria Time.
c. The quorum for this Meeting shall be Ten (10) Members present. But In the absence of the Chairman, his vice, the Secretary or his Assistant, the Club shall appoint a member to chair the meeting for the day.
d. The Monthly Meeting shall be held on the Club main what sap plat form.
e. All deliberation at any Meeting shall end with a motion moved and seconded by a Member for Adjournment.
EMERGENCY MEETING:
a. An Emergency Meeting shall be open to all Members of the club who are present at the point in time.
b. No quorum shall be considered during Emergency Meetings.
c. Any decision taken at the Emergency Meeting shall be presented at the Monthly or General Meeting for rectification.
EXECUTIVE MEETINGS:
i. An Executive Meeting shall be a Meeting of all the Executive Members of the club.
ii. At least one third of the Members of the Executive Committee shall form a quorum.
SECTION 19:
MEETING PROCEDURES:
There shall be an adequate notice for monthly Meetings.
In case of Annual General Meetings adequate notice shall be ensured by the Publicity Relation Officer in respect of venue for the meeting.
Minutes of the previous Meeting shall be read and adopted by a motion moved and supported by a member who were present at the Meeting immediately after the opening prayer.
Executive Meetings shall be summoned at the instance of the President or Vice President in the absence of the President.
SECTION 20:
LATNESS AND ABSENT TO MEETING:
1. Any member of the club that comes to the meeting or answered present immediately after reading and adoption of the minute of the last meeting shall presume to have come late and shall pay a fine of Two Thousand Naira Only. (N2, 000.00) to the club.
2. Any member that absent him or herself to the club meeting whether general meeting or monthly meeting without a letter of excuse shall pay a fine of Five Thousand Naira Only (N5,000.00)
SECTION 21:
FINANCE:
The club shall derive its funds from;
a) Registration fees,
b) Annual dues,
c) Donations from within and outside the club.
d) Levis, fines and penalties.
e) Other funds raising activities to support development programmes of the club.
SECTION 22:
DISCIPLINARY MEASURES:
a. The club shall impose on a Member any of the following as disciplinary measures depending on the nature of the offence committed.
b. Fine
c. Suspension
d. Removal from office
e. Dismissal
f. Any other legal punishment as may be agreed by the club.
SECTION 23:
OFFENCE AND PUNISHMENT:
The following shall be classified as an offence against the club.
a) Embezzlement or misappropriation of the club fund
b) Abuse of office
c) Fighting while the Meeting is in session
d) Taking a Member to court or police in a matter that is not criminal in nature without recourse to the club for an amicable settlement;
e) Drunkenness in any social event involving the club.
f) Taking drinks or food home in any social event involving the club
g) Lateness and absent to meeting.
h) Exiting what sap platform as a result of misunderstanding or altercation with a member.
i) Hate speech
j) Posting unwarranted articles or video to the group what sap platform.
EMBEZZLEMENT OF FUND
Any Member found guilty of Embezzlement after due investigation shall be liable to the following penalties (a)SUSPENSION from the club where the offender is not holder of any office (b) SUSPENSION AND REMOVAL FROM THE OFFICE; where the offender is an office holder.
a. The club shall write to offender to refund the money within one Month and where the offender failed or refused to return the money to the club after one Month he/she shall dismiss from the club.
b. The club may compel his or her guarantor to pay the money or use any other legitimate means within its powers to recover the money such as writing to the appropriate authorities like inter pol, EFCC and Police or institute criminal or civil action against the offender.
ABUSE OF OFFICE:
A vote of NO CONFIDENCE shall be passed on any officer found wanting in the performance of his duty, after the officer is allowed to defend himself at the Meeting, where he failed or unable to defend himself a vote of no confidence shall be passed on him by 2/3 majority of Members present at the Meeting in a such case the officer shall stand removed from the office and new Election shall be conducted within two months to fill the vacant position.
TAKING A MEMBER TO COURT OR POLICE IN A MATTER NOT CRIMINAL IN NATURE WITHOUT RECOURSE TO THE CLUB FOR AN AMICABLE SETTLEMENT:
a. Any Member who has a civil case with a fellow Member shall first report the matter to the club for amicable settlement, in such case the Chairman of the club shall constitute five man Peace and Conflict Resolution committee to look into the matter and submit their report to the club within (1) One Month from the date of report.
b. Any member of the club who failed or refused to report the matter to the club shall pay a fine of One Hundred thousand Naira (N100, 000) to the club and shall compel to withdraw the matter immediately from the police or court.
c. Where he/she failed or refused to pay the fine or withdraw the matter he/she shall be suspend from the club until he complied with the provision of this constitution.
FIGHTING WHILE THE MEETING IS IN SESSION:
Fighting during Meeting is prohibited; Any Member found guilty of such offence two of them shall pay a fine of N5000.00 to the club and the club shall investigate the cause of the fight to ascertain who is at fault or guilty, the person find guilty shall pay additional fine of N10,000.00
DRUNKENNESS AT SOCIAL EVENTS:
Drunkenness at Social Events involving the club is Prohibited any Member found guilty of such offence shall pay a fine of Ten Thousand Naira (N10, 000.00) to the club.
SECTION 24:
LATNESS AND ABSENT TO MEETING:
1. Any member of the club that comes to the meeting or answered present immediately after reading and adoption of the minute of the last meeting shall presume to have come late and shall pay a fine of Two Thousand Naira Only. (N2, 000.00) to the club.
2. Any member that absent him or herself to the club meeting whether general meeting or monthly meeting without a letter of excuse shall pay a fine of Five Thousand Naira Only (N5,000.00)
SECTION 25:
DEATH OF A MEMBER MOTHER OR FATHER
The club shall attend the burial of a financial up to date Member father or Mother with the following items:
a. One carton of Hennessy, red label or Jack Daniels wine and cow robe (Ogbiri Efi)
b. The club shall present the total sum of Three Hundred Thousand Naira Only (N300, 000.00) to the bereaved member for cow.
c. The bereaved member shall give the club drinks, 5 fried chicken and One Cooler rice, Semovita and bitter leaf soup
d. He will also give the club one big life he goat (Mkpi) when they are going back
